Marketing Fit Studio Membership Terms and Conditions

Please read the following terms and conditions fully. By purchasing a membership, you are acknowledging that you have read and agree to all terms and conditions. 

MEMBERSHIP AGREEMENT
This Agreement sets out the terms and conditions relating to the online content subject to payment ("Paid-for Content") that Marketing Fit Studio ("the Siteowner" or "We" or "Us") will provide to you ("the Member" or "You"). By accessing www.marketingfitstudio.com ("the Site") the Member is agreeing to the terms and conditions below. If the Member uses the Site in the course of business the Member is also agreeing to these terms and conditions on behalf of that business. If the Member does not agree with the terms and conditions (or the Member is not authorised to do so) the Member should not use the Site. If the Member has any questions they should contact the Siteowner through the helpdesk at www.marketingfit.com/helpdesk.

In order to use this site, you must have access to the world wide web, either directly or through devices that access web-based content. In addition, you must provide all equipment necessary to make such connection to the world wide web, including a computer and modem or other access device. You are solely responsible for all charges associated with connecting to this web site through an available access number. 

LICENSE
The Siteowner grants you a nonexclusive limited license to access the website and other content through the Site in accordance with these Terms and Conditions. 

a) USE OF MEMBERSHIP
Your Membership is nontransferable. The Member agrees that only you may use the Membership. The Member will promptly notify the Siteowner if the Member becomes aware of any unauthorized use of your Membership. All entrances are recorded. If you give your username and password to anyone else or allow others to enter, your membership will be terminated.

b) TERMS OF USAGE
None of the content provided by the Siteowner can be downloaded, resold, transferred, shared or made available in a storage retrieval device to be accessed by others. 
Unless the above terms are met, the terms of service will be considered in violation.

c) ASSIGNABILITY
The Member may not sub-license, assign, download or transfer this license to anyone else. 

e) OWNERSHIP 
The Member may not claim intellectual, copyright or exclusive ownership to the Siteowner's content, modified or unmodified. All content is the property of the Siteowner.

f) ACCESS TO YOUR ACCOUNT
In order to permit the Siteowner to protect the quality of the Site, the Member hereby consents to the Siteowner's employees being able to access the Member's account and records as necessary to investigate complaints and other allegations or abuse. The Siteowner shall not disclose the existence or occurrence of such an investigation unless required to by law. 

g) LENGTH OF MEMBERSHIP
The length of membership is 1 month (30 days). During this time period, the Member will have full access to all products and content. Once the 1 month time period has passed, the membership will renew automatically on the Member's anniversary date at the current price. There are no refunds once the Member's credit card has been rebilled.

h) UNAUTHORIZED USE
All of the following will be considered unauthorized use and will be a basis for termination:

1. The Member may not place any of our content, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale.
2. The Member may not share your username and password.
3. The Member may not distribute any content for free.
4. The Member may not copy text or images from the the Siteowner's website. 
5. The Member may not use the the Siteowner's servers for spam, adult material, harassment or any illegal content or activity.
6. The Member may not use bots or software to scan and download the Site or its content.
7. The Member may not provide false or misleading information concerning your identity.

i) FEES
As consideration for the services you have selected, you agree to pay to us the applicable membership fees through our authorized payment processors. All fees payable hereunder are non-refundable. As further consideration for the Services, you agree to: (1) provide certain current, complete and accurate information about you as required by the registration process and (2) maintain and update this information as needed to keep it current, complete and accurate. All such information shall be referred to as account information ("Account Information"). You, by completing and submitting this Agreement represent that the statements in your application are true.

j) TERMINATION
If you choose not to renew, all access to the Site is terminated at that time. Continued use of any of these privileges, will be considered a copyright violation and theft and basis for legal action. Termination of membership for any reason shall not entitle the Member to any refund of membership fees paid to date.

CONSEQUENCES OF BREACH OF THESE TERMS
In the event that the the Siteowner considers or determines, in their complete discretion, that the Member has breached, violated or contravened the Agreement or has otherwise demonstrated inappropriate conduct in the use of the Site or the content or services the Siteowner reserves the absolute right to:

(a) warn the Member that they have violated the Agreement and ask the Member to discontinue such conduct;

(b) discontinue the Member's membership of the site and/or any other related services, including the Site; and

(c) take measures (including terminating, suspending or restricting the Member’s use of the Site) to prevent the Member from using the Site or linking to the Site.

DENIAL OF ACCESS 
The terms of service constitute an agreement that is effective unless and until terminated by the Siteowner. If you fail to comply with any term or provision of this Agreement, the Member agrees that the Siteowner, in our sole discretion, may terminate the Member access to the Site.

MODIFICATION OF THE TERMS & CONDITIONS
We reserve the right to change or modify the terms of service at any time and your continued use of this Site will be conditioned upon the terms of service in force at the time of your use. 

COPYRIGHT & TRADEMARK NOTICES
You acknowledge that the Site contains information, software, photos, video, text, graphics, music, sounds or other material (collectively, "content") that are protected by copyrights, patents, trademarks, trade secrets, or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. All content in the Site is copyrighted by Marketing Fit and therefore cannot be downloaded. 

THIRD PARTY LINKS
To enhance the value of your Membership, we may display links to websites sponsored by third parties ("Third Party Sites"). If you click on one of these links, you will be taken to a website not controlled by the Siteowner. The Siteowner is not responsible for the content or operation of Third Party Sites reached by virtue of such links.

EXCLUSIONS & LIMITATIONS
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

ENTIRE AGREEMENT
This Agreement contains all of the Terms of Membership and no representations, inducements, promises or agreements concerning the Membership not included in this Agreement shall be effective or enforceable. If any of the terms of this Agreement shall become invalid or unenforceable, the remaining terms shall not be affected. 

INFANCY
You attest that you are of legal age to enter into this Agreement.

GOVERNING LAW
This Agreement and the Terms of Membership shall be governed and construed in accordance with the laws of the Province of Ontario without giving effect to the choice of law provisions thereof. Any dispute arising between the Member and the Siteowner will be resolved by submission to arbitration in Toronto, Ontario, Canada. Notwithstanding the foregoing, nothing in this Agreement is intended or shall be construed to negate or otherwise affect the consumer protection laws of the state in which the Member resides.
